Authority and Responsibility

The Board of Directors is the legal authority for the Lethbridge Pregnancy Care Centre (LPCC). As shareholder and a member of the Board, a Director acts in a position of trust for the community and is responsible for the effective governance of the organization.

Requirements

Requirements of Director include:

  • Commitment to the work of the organization.
  • Knowledge and skills in one or more areas of Board governance: policy, finance, programs, personnel, and advocacy.
  • Willingness to serve on committees.
  • Attendance at Board meetings.
  • Attendance at meetings of selected committees.
  • Attendance at Annual General Meetings and any additional shareholder meetings.
  • Support of, and participation in, fund-raising events, or other special events.
  • Financial support of the LPCC.
  • Complete PCC Training ‘Understanding Care Centre Work’.
  • Sign and agree to uphold the LPCC and PCC Core Documents.

Terms

Directors are elected by the shareholders at the AGM for a term according to the LPCC by-laws.

General Duties

A Director is fully informed on organizational matters and participates in the Board’s deliberations and decisions in matters of policy, finance, programs, personnel and advocacy.

Specific Duties

  • Provide spiritual leadership and direction to the LPCC.
  • Actively participate in the Board, including regularly attending meetings well prepared, volunteering for, and completing assignments on time, reviewing board correspondence, and exercising independent judgment when discussing or voting.
  • Review and follow all Board by-laws and policies, recommending changes as needed.
  • Approve the hiring and release of the Executive Director.
  • Monitor, support and supervise the Executive Director and regularly assess his or her performance.
  • With the assistance of the Executive Director, carefully review and participate in formulating the annual budget and strategic plan.
  • Participates in fund raising for the organization.
  • Carefully review all reports relating to the LPCC’s financial affairs, including interim and yearend financial statements.
  • Assist in developing and maintaining positive relations among the Board, committees, staff members, and community to enhance the LPCC’s mission.
  • Actively participate on at least one committee, including attending meetings, preparing for meetings, completing committee work on time, reviewing minutes and reports, and evaluating the committee.

Qualifications and Skills

Expertise: Board Members should have a number of the following skills/qualities:

  • Expertise in such areas as: legal, financial management, human resources, fund raising, education, health, marketing, business, or other non-profit/faith-based projects or companies.
  • Able to take personal/professional experiences and apply them to the work and scope of the LPCC.
  • Able to read, understand and offer suggestions and comments on financial statements.
  • Experience in leading people, or experience with projects, programs, or companies.
  • Industry or subject matter expertise that can benefit the LPCC.
  • Able to provide relationships that aid spreading awareness of the LPCC ministry.
  • Able to understand the needs of the client as well as the resources that are required to provide for those needs.

  • Understanding of the LPCC’s mission and a passion and calling for this ministry.
  • Upstanding personal/professional background.
  • Good listener; able to ask probing, thoughtful questions.

Time Commitment (Monthly)

Hours will vary, depending on the amount of work the Board must complete and also the committees that Directors are a part of. Between Board meetings, Committee meetings, and additional work, Directors can generally expect to devote a minimum of 4–8 hours a month to the LPCC.

Financial Commitment

Directors need to be giving to the Centre in a financial way, whether that is directly, via monthly or yearly giving, or indirectly via expenses incurred. Some special expenses that a Director may incur are costs of special events (i.e. tickets for a fundraising event), childcare and transportation costs. These will vary accordingly.

Evaluation

A Director’s performance is self-evaluated annually based on the LPCC Board Member Evaluation form.

Review Date and Approval Date

The Board Member Position Profile is reviewed annually. Recommended changes are presented to the Board of Directors.
